Terms & Conditions.

By accessing or using the ITW Universe platform (“Platform”), operated by ITW Consulting Private Limited (“ITW,” “we,” “us”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, do not use the Platform.

These Terms apply to all users, including brands, agencies, rights holders, talent representatives, and visitors. By creating an account or placing a booking, you represent that you have the authority to bind your organisation to these Terms.

ITW Universe provides the following services through the Platform:

• Marketplace — discovery, comparison, and booking of sponsorship assets, talent, OOH inventory, and media properties.
• Sponsorship matching — AI-powered recommendations connecting brands with relevant assets based on audience data, budget, and objectives.
• Booking & contracting — digital deal-flow from enquiry to signed agreement, including rate card access and proposal generation.
• Campaign management — post-booking campaign tracking, deliverables management, performance reporting, and post-campaign analysis.

ITW reserves the right to modify, suspend, or discontinue any feature of the Platform with reasonable notice to active users.

To access marketplace features and place bookings, you must register an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your account credentials and promptly notify ITW of any unauthorised access.
• Accept responsibility for all activity conducted through your account.
• Not create multiple accounts for the same organisation without prior written approval.

ITW reserves the right to suspend or terminate accounts that provide false information, violate these Terms, or remain inactive for more than 24 months.

When you place a booking or initiate a deal through the Platform:

• Binding agreements — confirmed bookings constitute binding agreements between you and the rights holder/talent. ITW facilitates but is not a party to the underlying sponsorship or talent engagement agreement.
• ITW as intermediary — ITW acts as an authorised intermediary and marketplace operator. We vet all listed assets and rights holders but do not guarantee specific campaign outcomes.
• Cancellation policy — deals under ₹50L have a 48-hour cooling-off period from booking confirmation during which either party may cancel without penalty. Enterprise deals (₹50L and above) follow custom cancellation terms negotiated during the deal-room process. Post cooling-off cancellations are subject to fees outlined in the specific booking agreement.

• ITW Universe branding — the ITW Universe name, logo, design system, and all Platform content are proprietary to ITW Consulting Pvt. Ltd. and may not be reproduced without written permission.
• User-uploaded content — you retain ownership of content you upload (brand assets, campaign briefs, logos). By uploading, you grant ITW a limited licence to use this content solely for the purpose of fulfilling Platform services.
• Rights holder content — asset descriptions, imagery, rate cards, and performance data displayed on the Platform are provided by rights holders and remain their intellectual property. Use of this content beyond Platform functionality requires separate licensing.

• Payment timing — payment is due upon booking confirmation for self-serve marketplace transactions. Enterprise deals follow milestone-based payment schedules as specified in the deal agreement.
• GST — all prices displayed on the Platform are exclusive of GST unless explicitly stated. GST at the applicable rate (currently 18%) will be added to invoices.
• Accepted methods — bank transfer (NEFT/RTGS), corporate credit card, UPI (for transactions under ₹5L), and international wire transfer for non-India entities.
• Refund policy — cancellations within the cooling-off period receive a full refund within 7 business days. Post cooling-off refunds are governed by the specific deal terms. ITW's service fee is non-refundable once the deal is executed.

• Marketplace role — the Platform is a marketplace and intermediary. ITW facilitates connections between brands and rights holders but is not liable for the performance of any individual sponsorship, campaign, or talent engagement.
• Campaign performance — while we provide estimated reach, engagement, and audience data, these are projections based on historical data and are not guaranteed outcomes. Our shortfall protection clause (where applicable) is a commercial commitment, not a warranty.
• Maximum liability — ITW's total liability under these Terms shall not exceed the service fees paid by you in the 12 months preceding the claim.
• Exclusions — ITW is not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost business opportunities, or reputational harm.

• Governing law — these Terms are governed by and construed in accordance with the laws of India.
• Arbitration — any dispute arising from these Terms shall be resolved through binding arbitration in Bangalore, India, under the Arbitration and Conciliation Act, 1996, as amended. The arbitration shall be conducted by a sole arbitrator mutually agreed upon by both parties.
• Informal resolution — before initiating arbitration, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

ITW may update these Terms from time to time. When we make changes:

• Material changes will be communicated via email and in-platform notification at least 30 days before taking effect.
• Non-material changes (clarifications, formatting) may be made without notice.
• Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
• If you do not agree with the updated Terms, you may close your account before the effective date.
